RECITALS

A. By signing on to this service WFS agrees to provide to you uniquely decorated Art Bins for the purpose of collection and repurposing of Salon Waste Materials and also provide you with Training and Promotional Material.

B. By signing on to this service and in exchange for the goods and services supplied by WFS you agree to pay a weekly fee based on charging a Repurpose fee incl of gst on each client visit based on your true client numbers per week by direct debit.

DEFINITIONS

(a) WFS means Super Five On Line Pty Ltd T/AS Waste Free Systems ABN: 63150385005 and any of its employees or authorised representatives.

(b) Account means the bank account or credit card identifying details you provide us on your Client Information Form

(c) Training means the training and instruction given to you initially as described in the Schedule on the proper use of the WFS system and Art Bins which WFS will provide to you and your staff.

(d) Promotional Material means that material itemised in the Schedule.

(e) Schedule means the document attached to this sign on form and bearing the description ‘Schedule’

(f) Client Information Form means the document attached to this sign on form and bearing the description ‘Client Information Form’

(g) Salon Waste Materials are strictly defined by this sign on form as: All materials used in salon in the course of running a Hairdressing or Beauty business.

(h) Art Bins means Salon Waste Material disposal bins, each uniquely decorated by well known Australian Artist Kendall Perkins strictly for internal use.

(i) Bins means the external bins into which the Art Bins are emptied of their Salon Waste Materials.

SUPPLY OF ART BINS:

WFS will provide you with exclusive bins some which are uniquely decorated by Australian Artist Kendall Perkins which are strictly for interior use and the collection of Salon Waste Materials. The Art Bins we supply to you are identified in the Schedule.

The Art Bins shall remain the property of WFS and are supplied to you for the exclusive use in accordance with the terms and conditions of this Agreement.

You may not use any other waste disposal bins for a similar purpose from an alternate supplier during the term of this Agreement.

You will be given a choice of available artwork for Art Bins at the commencement of this Agreement.

We shall offer you the option every 6 months to change your Art Bins, there is a minimal Exchange Fee to change your Art Bins and this is set out in the Schedule.

1. REPURPOSE FEE

1.1 You will pay to WFS the Repurpose Fee, (based on average client visits per week) this payment shall be made weekly and by direct debit arrangement only, this is referred to as the ‘Repurpose Fee’

1.2 By entering into this Agreement you authorise us to make direct debits from your Account only in accordance with this Agreement and you warrant that at all relevant times your Account shall have sufficient funds to service this Agreement.

1.3 Should a direct debit fee payment under this Agreement not be successful we shall notify you.

1.4. WFS will not vary the Repurpose Fee during the Minimum Term of this Agreement.

2. Termination

2.1 You may terminate this Agreement at any time (from the date of your first fee payment to us) by providing us with written notice at a time of no less than 30 days before the next date that your fee payment is due.

3.1 Upon Termination of this Agreement you must permit, allow, facilitate and do all things necessary to enable WFS to collect all of its Art Bins and Promotional Material and any intellectual property provided to you in the course of, or ancillary to, this Agreement.
